SEELE AI Affiliate Program Terms

The SEELE AI Affiliate Program (the “Program”) gives approved creators, partners, community members, publishers, and other participants the opportunity to promote SEELE AI and earn commissions for qualifying customer purchases. These SEELE AI Affiliate Program Terms (the “Terms”) govern your participation in the Program.

By applying to, joining, or attempting to participate in the Program, you (“Affiliate”, “you”, or “your”) agree to these Terms with SEELE Technology Limited, doing business as SEELE AI (“SEELE AI”, “we”, “us”, or “our”). If you participate on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

These Terms include all Program policies, commission schedules, brand guidelines, advertising restrictions, technical requirements, and other rules referenced by SEELE AI or made available through the Program dashboard. If there is a conflict between these Terms and a written Program policy, the more specific Program policy will control for that topic.

1. Affiliate Responsibilities

As an Affiliate, you agree to:

• promote SEELE AI only through approved, lawful, and transparent channels;
• use the tracking links, referral links, creative assets, or promotional materials provided or approved by SEELE AI;
• comply with SEELE AI brand guidelines and all applicable Program policies;
• clearly disclose your affiliate relationship wherever required by law, platform rules, or advertising standards;
• keep your account information, payout information, tax information, and contact information accurate and up to date;
• avoid misleading, deceptive, spammy, or unauthorized marketing practices; and
• promptly comply with any request from SEELE AI to remove or modify affiliate links, claims, content, ads, or landing pages.

2. Commissions

2.1 Commission Structure

Unless a separate written Program policy states otherwise, approved Affiliates may earn a commission equal to 30% of Net Revenue from each Qualifying Purchase completed through the Affiliate’s designated referral link during the applicable eligibility period.

For the default Program, the eligibility period is the first twelve (12) months following the referred customer’s first successful paid transaction attributed to the Affiliate. SEELE AI may offer different commission rates, caps, eligibility windows, or promotional bonuses for specific campaigns, regions, customer types, or Affiliate tiers.

“Net Revenue” means amounts actually received by SEELE AI from a Qualifying Purchase, excluding taxes, refunds, chargebacks, credits, discounts, payment processor fees, currency conversion costs, and other amounts not retained by SEELE AI.

2.2 Affiliate Links

After approval, you may receive one or more unique tracking links, referral links, coupon codes, or other attribution mechanisms associated with your Program account (“Affiliate Links”). When a customer clicks your Affiliate Link and completes a Qualifying Purchase through SEELE AI’s self-service checkout flow, you may be eligible to receive a commission.

You may not use Affiliate Links on websites, accounts, communities, apps, newsletters, ad accounts, or other properties that you do not own, control, or have permission to use. If SEELE AI asks you to remove an Affiliate Link or related content from any property, you must comply within twenty-four (24) hours.

Failure to comply may result in suspension or termination from the Program, forfeiture of unpaid commissions, and any other remedies available to SEELE AI.

2.3 Commission Eligibility

A purchase is eligible for commission only if all of the following conditions are met:

• the customer reached SEELE AI through your valid Affiliate Link or other approved tracking method;
• the customer completed the purchase through SEELE AI’s self-service checkout flow;
• the purchase was successfully paid, not refunded, not charged back, and not fraudulent;
• your Program account was active and in good standing at the time of the initial click and purchase;
• the purchase is not excluded by these Terms or a Program policy; and
• SEELE AI’s tracking systems reasonably attribute the purchase to you.

You will not receive commission for:

• customers who click your Affiliate Link but later purchase directly, through another link, or through a different channel outside the tracked session or attribution window;
• sales completed through a SEELE AI sales representative, enterprise deal, manually invoiced agreement, reseller arrangement, agency contract, or assisted sales process;
• renewals, upgrades, add-ons, repeat purchases, or subsequent purchases by the same customer, unless a Program policy expressly states otherwise;
• your own purchases, purchases by your employees, contractors, household members, or controlled entities;
• fraudulent, abusive, refunded, cancelled, disputed, or charged-back transactions;
• purchases generated by cookie stuffing, forced clicks, hidden links, bots, fake accounts, incentivized traffic not approved by SEELE AI, or other manipulation; or
• clicks or purchases occurring after your participation in the Program has ended.

SEELE AI’s records and tracking systems will be the final basis for determining commission eligibility, subject to good-faith review of clear errors.

2.4 Payout Terms

To receive payment, you must:

• accept these Terms;
• complete all required Program onboarding steps;
• provide a valid payout method;
• submit any required tax documentation; and
• remain in good standing under these Terms.

Unless otherwise stated in a Program policy, commissions are paid via PayPal or another payment method supported by SEELE AI. Payments are made on a NET-30 basis after the end of the applicable calendar month, subject to fraud review, refund windows, chargeback review, tax documentation, payout processor availability, holidays, and minimum payout thresholds.

SEELE AI may set a minimum payout threshold, initially USD $20. If your unpaid commission balance is below the threshold, payment may roll over until the threshold is met. SEELE AI may withhold or delay payment if we reasonably believe a transaction is fraudulent, non-compliant, disputed, refunded, or otherwise ineligible.

2.5 Taxes

You are responsible for all taxes, duties, levies, and reporting obligations arising from commissions paid to you. If SEELE AI or its payment processor is required to withhold taxes or similar amounts, we may deduct those amounts from payments owed to you and remit them to the relevant authority. Upon written request, we will provide available withholding documentation where legally required or reasonably practicable.

3. Content and Participation Rules

3.1 Authorization and Restrictions

Subject to these Terms, SEELE AI authorizes you to market and promote SEELE AI and its software, websites, tools, products, services, and related offerings (the “Service”) to potential customers.

You must market the Service fairly and accurately. You may not make claims, promises, warranties, guarantees, or representations about SEELE AI or the Service unless they are accurate, current, and authorized.

You may not publish, distribute, or use marketing content that:

• falsely appears to be created, approved, or endorsed by SEELE AI;
• violates laws, regulations, platform policies, or advertising standards;
• is false, misleading, deceptive, exaggerated, or inaccurate;
• is offensive, obscene, discriminatory, harmful, or inappropriate;
• disparages SEELE AI, the Service, customers, partners, competitors, or any third party;
• infringes or misappropriates intellectual property, privacy, publicity, or other rights;
• contains malware, phishing, scams, dark patterns, or unsafe downloads; or
• would violate SEELE AI’s Terms of Service, Acceptable Use Policy, Privacy Policy, or other user-facing policies if submitted to or distributed through the Service.

You also agree not to:

• engage in deceptive, unethical, spammy, fraudulent, or abusive marketing practices;
• represent yourself as an employee, agent, legal representative, reseller, or official spokesperson of SEELE AI;
• take orders for the Service or act as a reseller unless separately authorized in writing;
• interfere with the operation, tracking, attribution, or security of the Program;
• use Affiliate Links on coupon, voucher, deal, cashback, rewards, or coupon aggregator websites unless expressly approved;
• use domain names, account names, ad copy, profile names, or URLs that are confusingly similar to SEELE AI marks;
• use Affiliate Links in spam, unsolicited messages, bot traffic, fake communities, fake reviews, or deceptive redirects;
• bid on prohibited keywords or otherwise compete with SEELE AI’s protected paid search and organic search strategy; or
• directly market SEELE AI to individuals unless you have a lawful basis to contact them and the marketing is directed to your existing customers, audience, subscribers, or community.

Violation of these restrictions may result in immediate suspension or termination and forfeiture of pending commissions.

3.2 SEELE AI Customers

Customers who purchase through Affiliate Links are SEELE AI customers, not your customers. SEELE AI controls pricing, terms of sale, subscription rules, product availability, refunds, cancellations, customer support, account management, and all other aspects of the customer relationship.

You must not provide official support, make product commitments, promise refunds, modify pricing, or negotiate terms on behalf of SEELE AI. If a customer asks for support, direct them to rei@seeles.ai or the support channels listed on the SEELE AI website.

3.3 SEELE AI Content

SEELE AI may provide marketing assets, text, images, videos, screenshots, demos, widgets, APIs, link formats, brand elements, or other materials related to the Program or Service (“SEELE AI Content”). You may use SEELE AI Content only to promote SEELE AI in accordance with these Terms, Program policies, and brand guidelines.

When SEELE AI updates or replaces SEELE AI Content, you must make reasonable efforts to use the updated version and stop using outdated, inaccurate, or withdrawn materials.

4. Advertising Policy

You may not bid on, purchase, or target paid search keywords, social ads, app ads, display ads, or other paid placements that include SEELE AI brand terms, misspellings, confusingly similar terms, or protected non-brand keywords designated by SEELE AI unless expressly approved in writing.

You may not run ads that imply you are SEELE AI, use SEELE AI as the display URL, direct users straight to SEELE AI through an Affiliate Link, or use misleading countdowns, fake discounts, unauthorized coupons, or deceptive claims.

SEELE AI may require Affiliates to send traffic first to an Affiliate-owned landing page that clearly discloses the Affiliate relationship before linking to SEELE AI.

5. Disclosure Requirements

You must clearly and conspicuously disclose your affiliate relationship wherever required by law, platform policy, or advertising standards. Disclosures must be understandable to the ordinary audience and placed close to the affiliate claim, link, video description, post, email, or other promotional content.

Examples of acceptable disclosure language may include “I may earn a commission if you purchase through my link” or equivalent wording appropriate for the relevant platform and jurisdiction.

6. Ownership and Licenses

SEELE AI and its licensors retain all rights, title, and interest in SEELE AI, the Service, SEELE AI Content, trademarks, logos, trade names, software, documentation, APIs, models, data, and other intellectual property.

You receive only a limited, non-exclusive, non-transferable, revocable license to use approved SEELE AI Content solely for Program promotion in compliance with these Terms.

You grant SEELE AI a worldwide, royalty-free, non-exclusive license to reference, display, reproduce, distribute, and use your public affiliate content, name, handle, logo, likeness, and performance data for Program administration, promotion, reporting, and case studies, unless prohibited by law or a separate written agreement.

7. Monitoring and Enforcement

SEELE AI may monitor Affiliate activity, traffic quality, content, disclosures, advertising, referrals, and conversion behavior to protect the Program, customers, and SEELE AI’s brand.

SEELE AI may suspend, withhold, reduce, reverse, or cancel commissions; request content removal; restrict Affiliate Links; suspend your account; terminate your Program participation; or take other reasonable action if we believe you violated these Terms or generated invalid, fraudulent, abusive, or non-compliant activity.

8. Confidentiality

You may receive non-public information related to SEELE AI, the Program, customers, pricing, roadmap, commissions, performance data, technical systems, or business plans (“Confidential Information”). You must protect Confidential Information, use it only for Program participation, and not disclose it except as authorized by SEELE AI or required by law.

9. Term and Termination

These Terms begin when you apply to, join, or participate in the Program and continue until terminated.

You may stop participating at any time by removing Affiliate Links and ceasing Program activity. SEELE AI may suspend or terminate your participation at any time, with or without notice, including for violation of these Terms, inactivity, business changes, fraud risk, brand safety concerns, or Program discontinuation.

After termination, you must stop using Affiliate Links, remove Program references where reasonably practicable, and stop using SEELE AI Content except as otherwise permitted by law. Termination does not guarantee payment of pending commissions; unpaid amounts remain subject to eligibility, review, threshold, tax, and compliance requirements.

10. Program Changes

SEELE AI may update, modify, suspend, or discontinue the Program, these Terms, commission rates, eligibility periods, payout methods, thresholds, attribution rules, promotional assets, or Program policies at any time.

If we make material changes, we will use reasonable efforts to provide notice through the Program dashboard, email, website, or other reasonable channels. Continued participation after changes become effective constitutes acceptance of the updated terms.

11. Disclaimers and Limitation of Liability

The Program and all Program materials are provided “as is” and “as available.” SEELE AI does not guarantee that the Program will be uninterrupted, error-free, profitable, or available in any particular jurisdiction.

To the maximum extent permitted by law, SEELE AI will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost goodwill, loss of data, or business interruption arising out of or related to the Program.

12. Indemnity

You agree to defend, indemnify, and hold harmless SEELE AI, its affiliates, directors, officers, employees, contractors, partners, and agents from and against claims, damages, liabilities, losses, costs, and expenses arising out of or related to your participation in the Program, your marketing content, your violation of these Terms, your violation of law or platform policies, or your infringement or misappropriation of any third-party rights.

13. General

13.1 Governing Law

These Terms and any related dispute will be governed by the laws of Hong Kong, without regard to conflict-of-law principles, unless a different governing law is required by applicable law or stated in a separate written agreement.

13.2 Dispute Resolution

Any dispute arising out of or related to these Terms or the Program will be resolved in the competent courts or arbitration forum designated by SEELE AI’s generally applicable Terms of Service, unless a separate written agreement states otherwise.

13.3 Notices

SEELE AI may send notices to the email address associated with your Program account or through the Program dashboard. Notices are effective upon sending unless a later date is stated. You may send Program notices to rei@seeles.ai unless SEELE AI specifies another notice address.

13.4 No Assignment

You may not assign, transfer, or delegate these Terms or Program rights without SEELE AI’s prior written consent. Any unauthorized assignment is void. SEELE AI may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or by operation of law.

13.5 Independent Contractor

You and SEELE AI are independent contractors. These Terms do not create an employment, agency, partnership, franchise, joint venture, reseller, or fiduciary relationship. You have no authority to bind SEELE AI or make commitments on its behalf.

13.6 Entire Agreement

These Terms and incorporated Program policies are the entire agreement between you and SEELE AI regarding the Program and supersede prior understandings about the Program. If any provision is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect.

13.7 Survival

Any provisions that by their nature should survive termination will survive, including payment limitations, confidentiality, ownership, license to your content, monitoring and enforcement, limitation of liability, indemnity, dispute resolution, and general provisions.
